1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "your") and ToonBooth ("we," "us," or "our") for the ToonBooth mobile application (the "App") and any related services (collectively, the "Services"). By downloading, installing, or using the Services, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, you may not download, install, or use the Services.

2. Grant of License

We grant you a non-exclusive, non-transferable, revocable license to use the Services in accordance with this EULA. You may use the Services on a single mobile device owned by you. You may not:

• Distribute, sublicense, rent, lease, or otherwise transfer the Services to any third party.
• Modify, decompile, disassemble, reverse engineer, or create derivative works based on the Services.
• Remove or alter any copyright or trademark notices contained within the Services.
• Use the Services for any illegal or unauthorized purpose.

3. User Content

You retain all ownership rights to the content you upload to the App ("User Content"). However, by uploading User Content, you grant ToonBooth a non-exclusive, royalty-free license to use, reproduce, modify, publish, distribute, and display your User Content in connection with the Services. You represent and warrant that you have all necessary rights and permissions to grant such license.

4. Third-Party Services

The Services may integrate with or contain links to third-party websites or services. ToonBooth is not responsible for the content or practices of any third-party websites or services. You are advised to review the terms of service and privacy policies of any third-party services you access through the Services.

5. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. ToonBooth disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property rights. ToonBooth does not warrant that the Services will be uninterrupted, error-free, or secure.

6. Limitation of Liability

ToonBooth shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your use of the Services, even if ToonBooth has been advised of the possibility of such damages.

7. Copyright

The content of the Services, including the App, text, graphics, logos, images, and software, is protected by copyright and other intellectual property laws. You agree not to remove, alter, or obscure any copyright or other proprietary notices displayed on the Services.

8. Termination

ToonBooth may terminate this EULA at any time and for any reason, with or without notice. You may also terminate this EULA by ceasing to use the Services.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Nevada, Clark County, without regard to its conflict of law provisions.

10. Entire Agreement

This EULA constitutes the entire agreement between you and ToonBooth regarding your use of the Services.

11. Updates to EULA

ToonBooth reserves the right to update this EULA at any time. We will notify you of any material changes by posting the new EULA on the App or by sending you an email. You are advised to review the EULA periodically for any changes. Your continued use of the Services after the revised EULA becomes effective constitutes your agreement to the revised EULA.
